deverywhere Terms and Conditions

These Terms and Conditions ("Terms") are a binding agreement between you and Hyperbola LTD ("Hyperbola", "we", "us", or "our") governing your use of deverywhere — the deverywhere mobile application (the "App"), the deverywhere server component installed on your computer (the "Server Component"), the relay infrastructure we operate (the "Relay Service"), and the deverywhere website at deverywhere.io (together, the "Service").

By creating an account, installing any part of the Service, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

deverywhere enables you to remotely access and control terminal sessions, running processes, and certain other resources (such as locally running development servers, via port forwarding) on a computer that you own or are authorized to use ("Your Computer"), from a paired mobile device.

Using the Service requires that you install the Server Component on Your Computer and pair it with the App. Connections between the App and the Server Component may be made directly, over SSH, or through the Relay Service.

Where the Relay Service is used, it acts as a pass-through conduit: session traffic between your devices is end-to-end encrypted and is forwarded without being stored or decrypted by us, as further described in our Privacy Policy.

You acknowledge that the Server Component executes the commands and instructions sent from your paired device, that all activity conducted on Your Computer through the Service is directed by you, and that you remain solely in control of, and responsible for, Your Computer.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live, if higher) and capable of forming a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

3. Your Account

You agree to provide accurate, current information when creating your account and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at support@deverywhere.io if you suspect unauthorized use of your account.

4. License

Subject to these Terms and to an active subscription where required, Hyperbola grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the App and the Server Component, and to use the Relay Service, in connection with your own use of the Service.

You must not, except to the extent permitted by applicable law:

  • copy, modify, distribute, sell, rent, lease, or sublicense any part of the Service;
  • reverse engineer, decompile, or disassemble any part of the Service, or attempt to derive its source code;
  • circumvent, disable, or interfere with subscription enforcement, security features, or technical limitations of the Service;
  • use the Relay Service to carry traffic other than traffic generated by the Service between your own paired devices, or otherwise use it as a general-purpose proxy or tunnel;
  • resell the Service or make it available to third parties as a hosted or service-bureau offering; or
  • probe, scan, or test the vulnerability of, or interfere with or disrupt, the Service or its infrastructure.

5. Acceptable Use

You agree to use the Service only on computers and networks that you own or that you have explicit authorization to access and control, and only in compliance with all applicable laws — including laws governing computer access and misuse, privacy, and export controls.

Without limiting the foregoing, you must not use the Service to:

  • access, control, or monitor any computer, account, or system without authorization;
  • circumvent security measures or usage policies applicable to systems or networks you use;
  • infringe or violate the rights of any third party;
  • create, transmit, or distribute malware, or conduct denial-of-service or similar attacks; or
  • engage in any unlawful activity.

We may investigate suspected violations and may suspend or terminate access as described in Section 13.

6. Your Responsibilities

The Service gives your mobile device significant control over Your Computer. You are responsible for:

  • securing Your Computer and your network, including keeping the operating system and SSH configuration up to date and using strong credentials;
  • safeguarding the devices paired with Your Computer — treat a paired phone as a key to Your Computer — and the credentials stored on them;
  • the consequences of all commands and instructions executed on Your Computer through the Service, whether entered by you or generated by third-party tools you choose to run;
  • maintaining appropriate backups of your data — commands executed remotely can be destructive, and we strongly recommend regular backups; and
  • obtaining and maintaining the hardware, software, and network connectivity required to use the Service.

7. Third-Party Tools

The Service is commonly used to operate third-party command-line tools, including AI coding assistants. These tools are independent third-party products. Hyperbola is not affiliated with their providers and does not endorse, control, or assume responsibility for them — including their availability, behavior, output, the actions they take on Your Computer, or any costs or usage quotas they incur. Your use of third-party tools is governed by their own terms and licenses.

8. Subscriptions and Payment

The Service is a paid service. Access to the Service, or to certain features, requires a paid subscription. Applicable plans and prices are presented at the time of purchase; taxes may apply.

Payment is processed by the payment provider or platform through which you purchase, and their terms also apply to the transaction.

Unless otherwise stated at purchase, subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.

We may offer free trials. Unless you cancel before the end of a trial, the trial converts into a paid subscription at the price presented at sign-up. Trial eligibility may be limited (for example, to one trial per person).

Except where required by applicable law or by the refund policies of the platform through which you purchased, all payments are non-refundable, and we do not provide refunds or credits for partial billing periods.

We may change subscription prices on a prospective basis. We will give you reasonable advance notice of price changes, and your continued use of the Service after a change takes effect constitutes acceptance of the new price.

9. Intellectual Property

The Service, including all software, design, and content provided by us, is owned by Hyperbola or its licensors and is protected by intellectual property laws. Except for the license expressly granted in Section 4, no rights in the Service are granted to you.

You retain all rights to your own content — the code, files, data, and other material on Your Computer and in your sessions. We claim no ownership of it and, as described in the Privacy Policy, we do not store it.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

10. Privacy

Our handling of information in connection with the Service is described in our Privacy Policy, which forms part of these Terms.

11. Availability; No Uptime Commitment

The Service — including the Relay Service — is provided without any commitment as to availability, uptime, or continuity. We make no representation or warranty that the Service will be available at any particular time, at any particular level of uptime, or without interruption, and we do not offer any service-level agreement.

The Service may be interrupted, degraded, suspended, or unavailable due to maintenance, updates, outages, network conditions, third-party infrastructure, or causes beyond our reasonable control. We may modify, suspend, or discontinue all or part of the Service at any time. The Service is not designed for use in time-critical or safety-critical applications, and you should not rely on it for such purposes.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, HYPERBOLA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

You acknowledge that remote access to a computer carries inherent risk and that you use the Service at your own risk.

13. Suspension and Termination

You may stop using the Service at any time and may cancel your subscription as described in Section 8.

We may suspend or terminate your access to all or part of the Service, with or without notice, if we reasonably believe that you have violated these Terms, that your use poses a risk to the Service, to other users, or to third parties, or where required by law. Termination for your breach does not entitle you to a refund, except where required by applicable law.

Upon termination, the license granted in Section 4 ends and you must stop using, and uninstall, the App and the Server Component. Sections that by their nature should survive termination — including Sections 9, 12, 14, 15, 17, and 19 — survive.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) HYPERBOLA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (B) WITHOUT LIMITING THE FOREGOING, HYPERBOLA WILL NOT BE LIABLE FOR ANY DAMAGE TO, OR LOSS OF DATA ON, YOUR COMPUTER OR OTHER DEVICES ARISING FROM COMMANDS OR INSTRUCTIONS EXECUTED THROUGH THE SERVICE (WHETHER ENTERED BY YOU OR GENERATED BY THIRD-PARTY TOOLS), FROM UNAUTHORIZED ACCESS RESULTING FROM A FAILURE TO SECURE YOUR CREDENTIALS, DEVICES, OR COMPUTER, OR FROM THE UNAVAILABILITY OF THE SERVICE; AND (C) HYPERBOLA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO HYPERBOLA FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND ONE HUNDRED (100) US DOLLARS.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you. Nothing in these Terms limits any liability that cannot be limited under applicable law.

15. Indemnification

You agree to indemnify and hold harmless Hyperbola and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: your use or misuse of the Service; your violation of these Terms or of applicable law; your accessing of any computer, system, or network without authorization; or the commands, content, or tools you run through the Service.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice — for example, by email, through the App, or on the website — before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

17. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Hyperbola LTD is incorporated, without regard to its conflict-of-law rules, and the competent courts of that jurisdiction will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where applicable law grants you mandatory rights to bring claims elsewhere.

Before initiating formal proceedings, you agree to first contact us at support@deverywhere.io and to attempt in good faith to resolve the dispute informally for at least thirty (30) days.

18. Export Compliance

You must comply with all applicable export control and sanctions laws in connection with your use of the Service. You represent that you are not located in, or a resident of, any jurisdiction to which the Service may not lawfully be provided, and that you are not on any applicable restricted-party list.

19. General

These Terms, together with the Privacy Policy and any terms presented at purchase, constitute the entire agreement between you and Hyperbola regarding the Service and supersede any prior agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any delay or failure to perform due to causes beyond our reasonable control. These Terms do not create any third-party beneficiary rights. We may provide notices to you by email, through the App, or on the website.
